Clients are responsible for holding the rights and permissions necessary for the content they give us, including music, talent, and venue clearances.

Where a client authorizes us to act on their behalf on a third-party platform — for example connecting a social or video account, publishing to it, or managing advertising for it — we act only within the scope of that authorization and only for as long as it remains in effect. A client may revoke that access at any time; see Section 8.

6. Our intellectual property

The B Live name, logo, site design, software, and documentation are owned by B Live LLC and protected by intellectual property law. Nothing in these Terms transfers ownership of them to you. You may not use our marks without our written permission.

7. Payment

Fees, payment schedules, and refund terms for services are set in the applicable signed agreement, statement of work, or order form. Unless that agreement says otherwise, invoices are due on receipt, and late amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

8. Third-party platforms and integrations

Our services connect to third-party platforms — including YouTube, Google, and Meta — so that content can be published, measured, and promoted on accounts our clients own.

By using features of our services that access YouTube, you agree to be bound by the YouTube Terms of Service. Information handled through Google APIs is also subject to the Google Privacy Policy, and our own handling of it is described in our Privacy Policy.

You can review and revoke B Live's access to your Google account at any time at myaccount.google.com/permissions. Revoking access stops future use immediately, though it does not undo actions already taken with prior authorization.

Third-party platforms are operated by others. We are not responsible for their availability, their terms, or changes they make to their services.

9. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.

10. Availability

We work to keep our services running reliably, but we do not guarantee uninterrupted or error-free operation. Live streaming in particular depends on networks, encoders, venues, and third-party platforms outside our control. Service commitments, where they exist, are set in the applicable signed agreement.

We may modify, suspend, or discontinue any part of our services. Where a change materially affects a client's contracted services, we will provide reasonable notice.

11. Disclaimers

Except as expressly stated in a signed agreement, our website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, B Live LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of our website or services.

Our total liability for any claim relating to the services will not exceed the amount paid to us for the services giving rise to the claim during the twelve months before the claim arose, or one hundred dollars ($100) if no amount was paid.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless B Live LLC and its members, officers, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the services, or content or authorizations you provided to us that infringe or violate the rights of others.

14. Copyright complaints

If you believe content we host or distribute infringes your copyright, contact us at info@blive.nyc with: your contact information; identification of the work claimed to be infringed; identification of the material and where it appears; a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act for the copyright owner; and your signature.

We remove infringing material and terminate repeat infringers where appropriate.

15. Termination

You may stop using our services at any time. We may suspend or terminate access to the site or unpaid services at our discretion. Termination of contracted services is governed by the applicable signed agreement. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

16. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute arising out of these Terms, and you consent to venue there.

17. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent version. Continued use of our website or services after an update means you accept the revised Terms.
